AFFILIATE TERMS

These Affiliate Terms (the “Affiliate Terms”) apply to individuals and companies which we allow to sign up as an affiliate to our business (each an “Affiliate”). These Affiliate Terms are effective as of the Last Modified date above.

All references to “us” and similar words such as “we” and “our” (even if not capitalized) mean Hyre LLC, a Kansas limited liability company. All references to “you” and similar words such as “your” (even if not capitalized) mean the Affiliate.

By signing up as an affiliate of our business, you are agreeing to these Affiliate Terms and the other policies referenced in these Affiliate Terms. If you do not agree to these Affiliate Terms, then you may not become an affiliate to our business.

Relationship to Terms of Service

These Affiliate Terms and your affiliate relationship with us are subject to our Terms of Service, available at hyreup.com/terms-of-service. Without limiting the generality of the foregoing, you should carefully review the following sections of our Terms of Service to understand your rights and obligations: Exclusions, Disclaimers, & Limitations of Liability; Indemnification; Arbitration; Legal Provisions; Miscellaneous.

Referral Process

Referral Links & Referral Fees

We will provide you with a unique referral link which you can advertise to potential clients of our services. We will pay you Commission as described in the Partner Portal (or if applicable, in the Program Policies) for each new client who completes an applicable Qualified Transaction after clicking on a Referral Link made available by you, provided that you remain eligible to receive Commission pursuant to the terms of this Agreement.

If a potential new client contacts us in a manner other than through your referral link, then we may consider that potential new client a referral from you in our sole discretion provided the new client mentions you during their initial contact with us.

If you send us contact information for a potential new client, then we may consider that potential new client a referral from you in our sole discretion. 

In all cases, a new client will not be deemed a referral from you if we had a pre-existing relationship with that new client (including us soliciting them directly).

A referral may also be credited if the prospective client’s information is directly transferred to us via phone call, email, or text message. A referral will not be deemed valid if a referred prospect introduces us to another party who becomes a client without direct referral from you.

Payments

We will pay you all undisputed and owed Referral Fees on an ongoing basis within one month of the conclusion of each Referral Term. All payments will be made in U.S. Dollars. We will pay all Referral Fees using a payment method chosen by us and we will not have any obligation to pay Referral Fees to you in a form other than as decided by us. You must provide us with all reasonable information we request to allow us to make such payments, including all tax information and forms we reasonably request.

We will maintain accurate accounts and records detailing all referrals made and payments due. All rights to these records (including database rights and copyright) remain with us.

General Affiliate Terms

FTC Guidelines

You must comply with all FTC guidelines related to the promotion of our services.

Limited Authority

You are an independent contractor to us, and not our employee, partner, or agent. Nothing in these Affiliate Terms grants you any power to act on our behalf or to bind us to any contractual obligations. You must not hold yourself out as having any authority to act on our behalf.

You must not make or provide any representations, warranties, or promises regarding our services that are not already included in our official marketing materials.

Exclusivity

While you are an affiliate with us, you must not act as an affiliate, referral partner, or in any other capacity, for the benefit of any other talent placement companies, unless otherwise expressly permitted by us in writing.

Your Actions

At all times while serving as an affiliate to us, you must act in good faith, serve our business with loyalty, and avoid any conflicts of interest that may arise during your obligations to us. You must not take any action that may harm our reputation, or which would reasonably be expected to lead to unwanted or unfavorable publicity to us or our business.

Payments

We will pay you commission as described in the partner portal (or if applicable, in the program policies), provided that you remain eligible to receive Commission pursuant to the terms of this Agreement.

Marketing Materials

We may provide you with marketing materials and other content related to our business. As between you and us, we own all the foregoing, including all intellectual property rights in the same. We grant you a limited license to use such content for the sole purpose of advertising our services and your referral link. You may not assign, transfer, or sublicense, that limited license to any third parties. We may terminate that limited license at any time for any reason.

You must comply with all brand guidelines we provide from time to time.

Trademarks

You acknowledge that we own all Hyre trademarks.

Confidentiality

As a result of your relationship with us, we are likely to disclose our Confidential Information to you. Accordingly, you must (1) protect the confidentiality of our Confidential Information in your possession, (2) not use any of our Confidential Information except for the benefit of us, and (3) not disclose any of our Confidential Information to any third party. 

Confidential Information” means all our oral and written information which a reasonable person would deem confidential (including third-party information held in confidence by us) which is acquired by or disclosed to you, including without limitation any client data, trade secrets, business plans, vendor lists, financial projections, product plans, or internal procedures.. “Confidential Information” does not include information you can demonstrate (i) becomes known to the public through no fault of you, (ii) was independently developed by you without use of our Confidential Information, or (iii) was rightfully given to you by another party. 

Upon written demand from us, you must promptly return (or if requested by us destroy) all our Confidential Information in your possession (in all forms including all copies). This section will not limit our rights under applicable trade secret laws. We provide our Confidential Information on an “as is” basis without any warranties, whether express or implied, and without any verification as to its accuracy, suitability, or completeness. Your obligations in this section will apply during the duration of your affiliate relationship with us and for ten years thereafter.

Non-Solicitation

During the term of this Agreement and for 36 months following its termination, Referral Partner shall not solicit, request, advise, consult, influence, induce or attempt to induce:

Any agent, broker, employee, provider, vendor, consultant or other similar representative or business affiliate of Hyre to curtail, resign or sever its relationship with Hyre;

Any agent, broker, employee, provider, vendor, consultant or other similar representative or business affiliate of Hyre to contract with or sell a product that is the same or substantially similar to services provided by Hyre, to any company not affiliated with or a competitor of Hyre; provided however, that this shall not apply to any party that is an agent, subagent and/or employee of Referral Partner;

Any current Client of Hyre that Agent successfully sold on Hyre services, to cancel or discontinue services during the initial or any renewal term of the Client’s agreement with Hyre; or

Any current Client of Hyre (other than a Client that Referral Partner successfully sold on services provided by Hyre) to cancel or discontinue services or any other Hyre product and/or to purchase a product that is the same or substantially similar to services provided by Hyre.

Data Protection

You must comply with all applicable data protection laws. You must only provide us with personal data when you have the legal right to do so and all necessary consents and permissions are in place.

Termination & Downgrades

Either party (you or us) may terminate your affiliate relationship with us, any time, for any reason. If we do not secure any new clients from your referral link (or otherwise as contemplated in these Affiliate Terms) in a continuous three-month period, then your affiliate relationship with us will automatically be subject to downgrade or expiration. 

Upon any expiration or termination of your affiliate relationship with us: (a) we may disable your referral link, (b) we will pay you any undisputed and unpaid Referral Fees which you earned (but will not have any obligations to pay any other fees after such expiration or termination, even if there are additional Referral Periods remaining with respect to a referred new client), (c) you must stop holding yourself out as an affiliate with us, (d) all licenses we grant to you in these Affiliate Terms will automatically expire, and e) you must promptly return or destroy all confidential information, marketing materials, and any of our intellectual property in your possession.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your breach of these Affiliate Terms.
